Chocolate wars - Cadbury's takeover by Kraft
What we must remember is that this is the UK - the place with a price on everything, from our energy companies to our MP's, from the car industry to chocolatre manufacturers

Surely it's down to the shareholders whether or not Cadbury's is sold to Kraft? Or is the assumption that shareholders are a greedy lot so will automatically sell out to the highest bidder whatever the pros or cons of the deal?

How very sad that such a very British household name should be owned by a foreign company whom I am sure will not continue the Cadbury ethos. Are we to be subjected to rubbish American chocolate?

Why is this government allowing the Americans to take over Cadburys?. There is very little business in this country what state is this country going to be like if things carry on like this?. It only needs Kraft to turn round and close Cadburys and all those people out of work. These takeovers are not allowed in America, no foreign companies are allowed to take over companies in America why does this and previous Governments allow this, have they had back handers and payoffs just like the Tories?.

I think given the fact that Kraft have had to borrow to fund this takover its only going to be a matter of time before they have to cut costs and relocate the operations to a country where the cost base is less than the UK. The doesn't bode well for the employees who probably haven't got a long term future. The only thing that will remain will be the villiage; a museum to a by gone age. Its a shame as its another skill set that we have lost as a country. Maybe a UK sovereign fund should be created to take small share holdings in strategic industries so that it isn't that simple for foreign companies to cut and run. The President of France has just pulled the director of Nissan / Renault into explain their intention to move production to another country. It now will not happen!

Greed looms forth once more. Yet again the rich get richer and the workers lose their jobs. What is this government like - are they not prepared to do ANYTHING to keep British citizens in employment ? Shame on Cadbury's - always my favourite chocolate, now banned from this household.

It's a disgrace, one of the greatest, most iconic British companies in the world ignoring all their history and heritage for the sake of a quick buck - and this from a man who claimed at the start of this process that he had no interest in selling to "a plastic cheese company"! The fact that he has now done just that shows how little he values the Cadbury brand.

I agree with snowscreen. I believe the French are very protective so why aren't we. Typical Labour government with Scottish MPs in top positions who appear to delight in sending the English down the river. May they receive their cumuppence in the near future.

As a small investor, I selected Cadbury in 2008 as a good buy. After the approach by the plastic cheese maker, Cadbury management made a robust case to shareholders to reject any offer Kraft may make, since the future of a takeover would be many years in the wilderness owned by a debt ridden over diversified mediocre giant.
I still cannot believe after all that Mr Carr and his diectors have said and spent on this debacle, at a stroke seemingly all is rosy and he recommends acceptance. Why, what has changed that is so significant? The 840p offer values Cadbury a 13X earnings which puts it at the bottom of the list of similar deals. More importantly the future prognosis is immeasurably worse.
To add insult to injury, Kraft plans to borrow the 30 pieces of silver from RBS; what's that all about?

in the 50's people said, " British is the Best",
today I hear it said," the British have gone to the dogs". What is happening to this beautiful country.? Yet another British Industry, Cadbury, the 'back bone' of England, has given up the Ghost. I used to work in the 'Roses' department, I learned how to swim in cadbury's inner swimming pool. All workers floor and office alike were treated with respect, as were the Managers and the Cadbury Brothers themselves. Who's chocolate will we call our own?.
Cadbury's is known world wide, and the taste is unbeatable. Cheese & Chocolate,is not a marriage in heaven.

We use to have a Kraft factory here in Liverpool, it closed down, and went else were, are they going to do the same thing with Cadburys, all those workers out of work.
If Cadburys were so reluctant to sell to Kraft, why didn,t they put a clause in the contract to keep all the workers, i am totally disgusted with Cadburys, their chocolate is so popular i dont believe its about money either, but if it is, its just pure greed on the part of the people who could have held out and waited.

The real tuth is that RBS has provided the funding / loan to Kraft for this take over and this is a Bank that was bailed out by the UK taxpayer, so does that mean the taxpayer has a claim to the cadbury assets if they default on repayments.
Maybe RBS are in a position to repay the UK taxpayer after all!!!!

I agree with the view that once the Americans get their hands on Cadbury they will put the British workers on the dole!
Come on Britain - time to put the Great back in - if the government cant or wont stand up for us then the shareholders should vote to keep Cadbury British and let the greedy directors lose their jobs and not the workers.
If us Brits do one thing well - its make chocolate - lets learn a lesson from what happened to Terrys - time to say hands off!

Companies from outside the UK shouldnt be allowed to buy our companies at any cost. Manchester United is a prime example of a lucrative business with no debts being plunged into millions of £'s debt by a yank on a whim. On the flip side of this some of our failing companies have been rescued from outside help but it doesnt really make it right. Just hope nothing changes with Cadbury as we Brits are fussy when it comes to the brown stuff and anyone who's been abroad might well know what other countries efforts are when it comes to Choc.

I agree, Britain has been for sale for years. Short term gain followed by long term loss. incidentally, i remember at school many years ago my Geography teacher telling me about developing countries and the risk of foreign owned company leaching the money out of a country. We must be the first developed nation to become a developing nation by choice.

Cadbury's employees should now rightly be worried about their jobs. Remember, Terry's of York (Chocolate Orange) was also taken over by Kraft. It's now ALL gone elsewhere and the factory shut down.

It's not a heap of rubble. In fact the site is (hopefully) being redeveloped into a hotel and retail complex. But I'd still rather have the factory.

I think that it is a stupid idea, as Britain is losing more and more business there is hardly anything that is made here anymore and as a result, other countries tend to forget us, why should other countries get our business when we were capable of making things before.
I hope that as a result of this that Cadbury's chocolate won't change it's taste as there would be a lot of dissapointed people in England, me included.

Sorry, I don't see the need for yet another BRITISH company to be sold overseas. It won't be long before we can't buy British at all. My personal retaliation is not buying any more Cadbury products.

Kraft share holders beware. Kraft are not interested in Cadbury's for chocolate but for the outlets, connections and markets. Cadbury's was not in financial trouble and did not need a finacial bail-out. It is wrong that Kraft can buy a company having to borrow over half the money they will have to milk Cadburys just to pay pay the debt. Cadburys in UK will close. Another manufacturer hits the dust. TIGHTER MONEY REGULATIONS REQUIRED. The only people to benefit from this (other than Kraft) will be people who bought Cadbury shares when they were cheap after banking crisis. Kraft shareholders should be very wary of accepting this deal due to debt.

Everyone's a fruit and nut case! none more so it seems than Roger Carr for caving in and recommending this latest offer.
Suspect he has been offered more that a cheese slice from kraft.
Bad Bad deal hope L & G keep to their stated opposition as Cadbury have a profitable future ahead as an independant british company.
Kraft will just asset strip for their own ends. Not least to show Warren Buffett that they can really make a quick buck from this acquistition.

We have until 1pm on Tuesday next (2nd Feb) to accept Kraft's offer.
I do not, along with many other small shareholders, wish to be strong armed to do so.
The real baddies in this whole affair and those the British Public should maintain their angst against are the hated hedge funds. Mr Carr was told by them that an offer of 800p or more would be accepted. I do not see what more he could have done.
I for one would like to see the smug self-serving at any cost hedgies be relentlessly hounded out of the UK to somewhere like sterile Switzerland.

Well this is a household who will not be buying Cadbury chocolate again. It is an outrage that such a British Institution has been allowed to sell out. Shame on our Government for not intervening - they seem to find endless pots of money to send out of the country - they should be supporting the few industries 'Great' Britain has been left with. My goodness, it was not so long ago that Britain was hailed as a country fit for heroes - you now need to be a hero to continue living here.

If Kraft pull out of the UK completely we in the UK can send them a big message. Don't buy ANY Cadbury's chocolate lets see what their shareholders make of that.

Iconic British company Cadbury had been the subject of a hostile bid by American conglomerate Kraft Foods since August 2009 - and has now recommended the takeover deal that values the maker of Dairy Milk and Twirl at £11.7 billion.
The deal marks the end of Cadbury's 186 years as an independent company. There are also fears about the scale of likely job cuts among Cadbury's 45,000-strong workforce.
